  • This contract for services is made effective as of Eleint 24th of the current year by and between Nuwairah Zarah'kifa and High Jurist Al'Aif Mahlajai.

    1. DESCRIPTION OF SERVICES

    Beginning on Eleint 24th of the current year, High Jurist Al'Aif Mahlajai shall provide to Nuwairah Zarah'kifa the following services:

    2. COMPENSATION

    Compensation will be made by Nuwairah Zarah'kifa by employing herself to Al'Aif Mahlajai during the validity of this contract.

    Nuwairah Zarah'kifa agrees to perform faithfully, diligently and to the best of her ability, experience and talents, all of the duties that may be required to the reasonable satisfaction of High Jurist Al'Aif Mahlajai within.

    Such duties include services of escort, guardship, protection, courier, carrier, and any other similar tasks derived of such. Such duties shall be provided at such places as the needs, business, or opportunities that High Jurist Al'Aif Mahlajai may require.

    3. TERM

    This Contract will terminate automatically upon completion of High Jurist Al'Aif Mahlajai of the Services required by this Contract.

    4. WARRANTY

    High Jurist Al'Aif Mahlajai shall provide his services and meet his obligations under this Contract in a timely manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in similar cases, and shall provide a satisfactory standard of commitment.

    5. DEFAULT

    The occurrence of any of the following shall constitute a material default under this Contract:

    6. REMEDIES

    In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term or condition of this Contract, the other party may terminate the Contract by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have ten days from the effective date of such notice to cure the default(s). Unless waived in writing by a party providing notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this Contract.

    7. FORCE MAJEURE

    If performance of this Contract or any obligation under this Contract is prevented, restricted, or interfered with by causes beyond either party's reasonable control, and if the party unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event.

    The term Force Majeure shall include, without limitation, acts of the gods, severe injury, natural disasters, orders or acts of military or civil authority, realm-wide emergencies, insurrections, riots, wars, strikes, or any other similar occurrence that prevents the reasonable performing of the affected party's obligations. The excluded party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party or its employees, officers, agents or affiliates.

    8. ARBITRATION

    Any controversies or disputes arising out of or relating to this Contract shall be resolved by binding arbitration in accordance with the then-current Arbitration Rules of the jurisdiction under which this Contract has been signed. In lack of such, the parties shall select a mutually acceptable arbitrator knowledgeable about issues relating to the subject matter of this Contract. All documents, materials and information in the possession of each party that are in any way relevant to the dispute shall be made available to the other party for review and copying no later than ten days after the notice of arbitration is served. The arbitrator shall not have the authority to modify any provision of this Contract or to award punitive damages. The arbitrator shall have the power to issue mandatory orders and restraint orders in connection with the arbitration. The decision rendered by the arbitrator shall be final and binding on the parties. During the continuance of any arbitration proceeding, the parties shall continue to perform their respective obligations under this Contract.

    9. ENTIRE AGREEMENT

    This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreement between the parties.

    10. AMENDMENT

    This Contract may be modified or amended in writing by mutual agreement between the parties, if the writing is signed by the party obligated under the amendment.

    11. NOTICE

    Any notice communication required or permitted under this Contract shall be sufficiently given if delivered in person or certified messenger, return receipt requested, to the Temple of Kelemvor.

    12. WAIVER OF CONTRACTUAL RIGHT

    The failure of either party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Contract.

    13. RECONSTRUCTION AND INTERPRETATION

    The rule requiring construction or interpretation against the drafter is waived. The document shall be deemed as if it were drafted by both parties in mutual effort.

    IN WITNESS WHEREOF, the parties hereto have caused this Contract to be executed by themselves, Nuwairah Zarah'kifa and High Jurist Al'Aif Mahlajai as of the date first above written.

    1. PARTIES

    The parties in agreement are on one side Kylmanauvotharix the White Wyrm referred to henceforth as the Landlord, and on the other side The Troff Legion and The Faithful of Kelemvor, referred to henceforth as the Tenants.

    2. PROPERTY

    The Landlord rents to the Tenants the lands located between The Great Scar and Sam's Hole/Nars Crossroads, and only the lands between, being the aforementioned landmarks not included within the agreement.

    3. TERMS

    The lease shall be commencing on 28th of Flamerule of the current year for a period of one thousand years.

    4. RENT

    The rent shall be 65,000 standard gold pieces to cover the full rental period, delivered in hand to the Landlord at the moment of the signing of this contract.

    5. OCCUPANTS

    The Tenants are the occupants of the land, and have license to offer passage or shelter to third parties. The parties that may benefit from passage and shelter within the land include, but are not limited to, the Hin Folk exilees of the Silver Valley, Shady Varr, Old Lenny, and the Ferryman.

    6. TERMINATION

    Upon termination of this agreement, the Tenants shall vacate the land, removing all personal property belonging to them. The Tenants agree that any personal property left in or about the premises after the Tenants have vacated shall be considered abandoned property, and the Landlord may sell or otherwise dispose of same without liability to the Tenants.

    7. PERMISSION FOR LANDLORD

    The Landlord shall refrain from entering the premises for the duration of this contract, unless the Tenants agree to allow the Landlord or its agents to enter the dwelling upon reasonable advance notice. The Landlord may also enter the premises without prior consent if it appears to have been abandoned by the Tenants or in case of emergency to prevent damage to the premises, such as an event of force majeure, including but not limited to, major natural disasters or wars.

    8. CHANGES

    No changes or additions to this lease shall be made except by written agreement between the Landlord and the Tenants. This lease and any attachments represent the entire agreement between the Landlord and the Tenants.

    9. SUPERSESSION

    This contract supersedes and renders invalid and obsolete any previous contracts or claims over the premises from the time of the signing of this contract.
